I. General Provisions
Offers: All offers on the website are non-binding. A contract becomes effective only upon written confirmation by Vareum or upon fulfillment of the order. Products are intended for research use only. The customer is solely responsible for verifying their eligibility to purchase. Contractual terms are those specified in the confirmation.
Product Information: Samples are provided for demonstration purposes only. All technical data and product specifications are for reference only unless explicitly confirmed in writing. Standard industry tolerances apply.
Guarantees: Any commitment regarding quality, durability, or expiration shall only be valid if expressly confirmed in writing by Vareum.
Scope of Sale: Sales are intended for business, institutional, and research customers only. Sales to private individuals are not permitted.
Intermediary Role: Vareum acts solely as an intermediary between the customer and the manufacturer. Vareum provides full customer service, order management, and communication with the manufacturer, but is not the actual supplier of the products. Products are shipped directly from the manufacturer to the customer under a DTC (Direct-to-Customer) model.
Manufacturer-Specific Terms: Each manufacturer may have its own terms and conditions that apply to the supplied products. These terms, as provided by the manufacturer, shall govern the delivery and performance of the respective products.
II. Delivery and Performance
Delivery Times: Delivery times are estimates unless otherwise agreed. Time begins upon receipt of all necessary documentation and full payment. In case of delay, the customer may set a reasonable grace period.
Force Majeure: Events such as natural disasters, pandemics, or government actions release Vareum from delivery obligations. Delays or non-performance due to such events shall not constitute a breach.
Delivery Delays: In cases not resulting from force majeure, compensation is limited to 0.5% per week of the undelivered value, up to a maximum of 5%.
Partial Deliveries: Permitted unless deemed unreasonable. Each delivery shall be considered a separate transaction.
Delivery Schedules: Recurring deliveries require prior coordination. In the absence of such, Vareum reserves the right to schedule or cancel deliveries at its discretion.
III. Risk Transfer and Shipping
Risk Transfer: Risk transfers to the customer upon handover to the carrier or when declared ready for shipment.
Shipping and Insurance: Shipping method and packaging are determined by Vareum. Insurance is optional and at the customer’s expense unless otherwise agreed.
Customer Default: Refusal or delay in accepting the goods transfers risk to the customer. Storage fees may apply.
IV. Pricing
Prices: Prices are based on the current price list and exclude VAT, import duties, and packaging, unless stated otherwise.
Discounts: Valid only if confirmed in writing.
V. Payment
Invoicing: Invoices are issued electronically.
Payment Terms: Payment must be made in advance prior to order processing. Goods will only be dispatched upon receipt of full payment and delivered to the customer via courier service (e.g., FedEx, DHL, etc.).
VI. Retention of Title
Ownership: Title to the goods remains with Vareum until full payment is received.
2–5. Customer Obligations: Customers must properly store the goods upon receipt.
VII. Warranty and Liability
Inspection: Goods must be inspected within 7 days. Products are for research use only.
2–5. Warranty Terms: Warranty includes repair or replacement. The warranty period is one year. Liability is limited, except in cases of gross negligence or bodily harm.
Distributor Claims: Customers must first contact the distributor. Vareum may assign its related rights accordingly.
VIII. Technical Advice
Advice is provided in good faith based on experience, but is non-binding and without liability. Suitability of products is the customer's responsibility.
IX. Jurisdiction and Governing Law
Place of Performance: All payments are deemed performed in the State of Israel. Deliveries may be fulfilled from various countries worldwide depending on the manufacturer.
Jurisdiction: Legal disputes shall be governed by and resolved under the laws of the State of Israel in its competent courts.
Governing Law: The applicable law is the law of the State of Israel exclusively.
X. Additional Provisions
If any clause is found invalid, the remaining provisions shall remain in full force and effect.
The customer is responsible for import duties and shipping costs.
Claims must be submitted within 45 days and supported by relevant documentation.
In shared-fault cases, proportional responsibility will apply.
Force majeure events must be reported within 14 days with appropriate documentation.
Unresolved disputes shall be referred to the CCPIT Arbitration Commission, and the ruling shall be binding.
