VAREUM – Terms & Conditions of Sale

I. General Provisions
1. Contract Formation
All product listings, quotations, and communications issued by Vareum Scientific Ltd. (“Vareum”) are non-binding. A purchase contract becomes valid only upon written confirmation by Vareum or upon fulfillment of the order. By placing an order, the Buyer agrees to these Terms & Conditions.
2. Research Use Only
All products sold via Vareum are intended strictly for research use only and are not for diagnostic, therapeutic, clinical, food, cosmetic, or human/animal consumption unless explicitly stated by the manufacturer.
The Buyer is responsible for ensuring eligibility to purchase, handle, store, and use such materials under local regulations.
3. Intermediary Role
Vareum acts as an intermediary between the Buyer and the manufacturer (“Supplier”). Products are shipped directly from the Supplier under a drop-ship (DTC) model.
Vareum manages communication, quotations, order processing, invoicing, after-sales support, and coordination with the Supplier. Vareum is not the physical manufacturer of the products.
4. Manufacturer Terms
Each Supplier may apply their own terms related to warranties, storage requirements, documentation, or shipping conditions. Such terms apply in addition to those listed here.
5. Product Information
Technical data, images, specifications, and certificate documents (COA, SDS, datasheets) are for reference only unless explicitly confirmed in writing. Industry-standard tolerances apply.
6. Non-Resale Clause
Products may not be resold, redistributed, or transferred without written authorization from Vareum or the Supplier.
II. Pricing
1. Prices & Currency
Prices displayed on the website or quoted by Vareum may change at any time without notice. Prices exclude VAT, customs duties, import taxes, handling, and shipping fees unless specifically stated.
2. Quotes
Written quotations are valid for 30 days unless otherwise specified.
3. Duties & Import Costs
All customs clearance fees, import duties, VAT, regulatory fees, and local charges are the Buyer’s responsibility.
III. Payment
1. Payment Terms
All orders must be paid in advance unless otherwise approved in writing. Accepted methods: bank transfer, credit card, or approved online gateways.
2. Invoicing
Invoices are issued electronically. Goods are released only after full payment is received.
3. Late Payments
Unpaid balances may incur interest charges and result in withholding of future shipments.
IV. Delivery & Shipping
1. Delivery Method
Unless agreed otherwise, all shipments are sent FCA (Incoterms® 2020) from the Supplier’s location.
2. Estimated Delivery Times
Delivery times listed on the website are estimates only. Delays caused by customs, logistics, or suppliers do not constitute breach of contract.
3. Partial Shipments
Partial deliveries may occur and are considered valid.
4. Risk Transfer
Risk transfers to the Buyer once the goods are handed over to the carrier or declared ready for shipment.
5. Buyer Refusal
If Buyer refuses acceptance or delays collection, additional storage and handling fees may apply, and risk passes to Buyer.
V. Cancellation, Changes & Returns
1. Order Cancellation
Orders may be canceled only with written approval from Vareum. Custom, made-to-order, hazardous, or temperature-controlled products cannot be canceled.
2. Returns
Due to the scientific nature of the goods, most products are non-returnable, including:
- temperature-controlled or refrigerated items
- opened reagents
- chemicals, antibodies, proteins, assay kits
- custom or special-order products
- expired, used, or damaged goods
Returns, if approved, may incur restocking fees (up to 15% or higher depending on Supplier policy).
3. Claim Procedure
All claims must be submitted within 7 days of receipt, with photos, documentation, and LOT/batch details.
VI. Warranty & Liability
1. Warranty
Standard warranty is as provided by the manufacturer only. Vareum does not provide additional warranties.
Warranty does not apply in cases of improper storage, mis-handling, use outside intended purpose, or expired goods.
2. Limitation of Liability
Vareum’s total liability shall not exceed the value of the product purchased. Vareum is not liable for:
- indirect or consequential damages
- loss of research, data, profits, or time
- misuse or improper application of products
- delays caused by suppliers, couriers, or customs
3. Distributor Claims
Vareum may transfer warranty or defect claims directly to the Supplier, where applicable.
VII. Regulatory Compliance
The Buyer is responsible for verifying import permissions, ensuring proper research licenses, handling hazardous materials safely, and complying with all local laws and regulations. Buyer must ensure all personnel handling the products are qualified and trained.
VIII. Confidentiality
All pricing, supplier information, discounts, and technical documents provided by Vareum are confidential and may not be shared with third parties without written permission.
IX. Governing Law & Jurisdiction
These Terms shall be governed solely by the laws of Israel. All disputes shall be resolved exclusively in the competent courts of Israel.
Vareum may alternatively refer unresolved disputes to CCPIT Arbitration Commission if involving international suppliers.
X. Additional Provisions
Invalid clauses do not void the remaining terms. Claims must include documentation, order numbers, and batch details. Force majeure events (war, pandemics, supply chain disruptions) release Vareum from obligations. Any modifications must be approved in writing.
